Accordingly, this action might have originally been brought in the U.S. District Court for the District of Massachusetts under 28 U.S.C. 1391(b)(2). While a clause in the services agreement at issue in this case indicates that the courts of the State of New York "shall have exclusive jurisdiction" in any dispute arising under the terms of the agreement, as plaintiff correctly observes in its Letter at Dkt. Entry No. #16 , this clause is not dispositive of the question whether venue in the Eastern District of New York is proper. On the contrary, consideration of the convenience of witnesses, the locus of operative facts, and trial efficiency reveals that it would be in the interests of justice for the Court to exercise its discretion under 28 U.S.C. 1404(a) to transfer this action to the U.S. District Court for the District of Massachusetts. WHEREFORE, this action is hereby TRANSFERRED to the U.S. District Court for the District of Massachusetts. The Clerk of the Court is directed to close this case.
